Terms of Service

Haymarket.farm is operated by Haymarket Farm LLC ("Haymarket," "we," "us," or "our"). By accessing or using Haymarket.farm, you agree to these terms. If you do not agree, do not use the platform.

1. What Haymarket Is

Haymarket.farm is an online listing and discovery platform for hay, livestock feed, and related agricultural services. We provide a place for sellers to post listings and for buyers to find them.

We are a platform, not a seller. We do not own, produce, store, inspect, transport, or sell any product listed on this site. We are not a party to any transaction between users. All transactions occur directly between buyer and seller, entirely outside of this platform.

Haymarket.farm is operated in and intended for use within the United States. We do not target, market to, or knowingly provide services to users located outside the United States. By using this platform, you confirm that you are located in the United States.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use Haymarket.farm. By creating an account, you confirm that you meet these requirements.

3. Accounts

You are responsible for maintaining the security of your account and password. You are responsible for all activity that occurs under your account.

You must provide accurate information when creating your account. One account per person. Creating multiple accounts may result in suspension.

We may suspend or terminate your account at our discretion if you violate these terms.

4. Listings

Creating Listings

By creating a listing, you represent that:

• You have the legal right to sell the product or offer the service described
• The information in your listing is accurate and not misleading
• Any quality data you provide (RFV scores, protein content, moisture levels, test results) is truthful and based on actual testing or honest estimation
• Your photos accurately represent the product being offered
• Your listing complies with all applicable local, state, and federal laws

Listing Content

You retain ownership of the content you post (text, photos, descriptions). By posting a listing, you grant Haymarket a non-exclusive, royalty-free license to display, reproduce, and distribute your listing content on the platform and in search engine results, for the purpose of operating and promoting the platform. This license ends when you delete your listing or account.

Prohibited Listings

You may not list:

• Products you do not own or have authority to sell
• Stolen goods
• Products that violate any applicable law or regulation
• Listings that are fraudulent, deceptive, or misleading
• Spam, duplicate, or substantially identical listings posted repeatedly
• Products or services unrelated to hay, livestock feed, or agricultural services
• Any content that is offensive, abusive, or discriminatory

We reserve the right to remove any listing at any time, with or without notice, for any reason.

Listing Fees and Duration

During our launch period, listings may be offered free of charge. After the launch period, listings are subject to the fees published on our pricing page at the time of posting. Fees are non-refundable once a listing has been published.

Standard listings are active for 30 days. Boosted listings are active for 60 days. Season Passes are valid for 6 months from purchase date. Listings expire automatically at the end of their active period.

5. Purchases and Payments

When you purchase a listing boost, Season Pass, or advertising placement, payment is processed by Stripe. By making a purchase, you agree to Stripe's terms of service.

All prices are in US dollars. Fees are non-refundable except where required by law.

We reserve the right to change our pricing at any time. Price changes will not affect existing active listings or passes.

6. Transactions Between Users

All transactions resulting from listings on Haymarket.farm are solely between the buyer and seller. We are not involved in and bear no responsibility for:

• The negotiation, pricing, or terms of any transaction
• Payment between buyer and seller
• The quality, safety, condition, legality, or fitness for purpose of any product
• Delivery, pickup, transportation, or logistics
• Any dispute between buyer and seller
• Any loss, damage, or injury arising from a transaction

Buyers and sellers are responsible for determining the terms of their own transactions, conducting their own due diligence, and complying with all applicable laws.

7. Messaging

The platform provides a messaging system for buyers to contact sellers about listings. By using this system, you agree:

• Not to send spam, unsolicited commercial messages, or bulk messages
• Not to send content that is abusive, threatening, harassing, defamatory, obscene, or discriminatory
• Not to use messages to attempt fraud or scams
• Not to share another person's personal information without their consent

Messages are subject to content moderation. We may review flagged messages and take action including removing content and suspending accounts. We are not obligated to monitor all messages and do not guarantee that all harmful content will be detected.

8. Advertising

Third-party advertisements displayed on the platform (labeled as "Service Providers" or "Recommended Partners") are paid placements by businesses. These advertisements are clearly separated from user listings.

The presence of an advertisement does not constitute an endorsement by Haymarket. We do not guarantee the quality or reliability of any advertised business.

9. Intellectual Property

The Haymarket.farm name, logo, design, and original content are the property of Haymarket Farm LLC. You may not copy, modify, or use our branding without written permission.

You retain ownership of content you create on the platform. We do not claim ownership of your listing text, photos, or descriptions.

10. Limitation of Liability

To the fullest extent permitted by law:

Haymarket.farm and Haymarket Farm LLC are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

In no event shall Haymarket.farm or Haymarket Farm LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from:

• Your use of or inability to use the platform
• Any transaction or interaction between users
• Any content posted by users
• Unauthorized access to your account
• Any other matter relating to the platform

Our total liability to you for any claim arising from these terms or your use of the platform shall not exceed the amount you have paid to Haymarket.farm in the 12 months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Haymarket Farm LLC, its officers, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the platform
• Your listings or content
• Any transaction you enter into with another user
• Your violation of these terms
• Your violation of any applicable law

12. Dispute Resolution

Any dispute arising from these terms or your use of Haymarket.farm shall be governed by the laws of the State of Delaware, without regard to conflict of law provisions.

Before initiating any formal proceedings, you agree to attempt to resolve disputes informally by contacting us at hello@haymarket.farm. If a dispute cannot be resolved informally within 30 days, either party may pursue resolution through the courts located in Delaware.

13. Modifications

We may update these terms at any time. If we make material changes, we will notify registered users by email at least 14 days before the changes take effect. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.

14. Termination

You may close your account at any time by contacting hello@haymarket.farm.

We may suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these terms, is harmful to other users, or is otherwise objectionable.

Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and dispute resolution) will survive.

15. General

• If any provision of these terms is found unenforceable, the remaining provisions remain in effect.
• Our failure to enforce any provision does not waive our right to enforce it later.
• These terms constitute the entire agreement between you and Haymarket regarding your use of the platform.
• You may not assign or transfer your rights under these terms. We may assign our rights without restriction.
